We regularly advise on corporate reorganisations and assist in the documentation and implementation of corporate reorganisations, for private, public and listed companies. Our lawyers appreciate the need for companies to reorganise, whenever need arises, in line with new business requirements or as a result of new legislation or policy requirements.

Some key recent assignments include:

• Acted as Kenyan local counsel to Total SA, a public company listed on the Paris Stock Exchange, on the implementation of an internal reorganisation of its corporate structure in line with its business requirements, including the regulatory requirements applicable to Total SA’s Kenyan subsidiary which is listed on the Nairobi Securities Exchange
• Advised Liberty Group of South Africa on the reorganisation of two insurance companies (Heritage and CfC Life) and new listing on the Nairobi Securities Exchange
• Advised WPP Group on the reorganisation of Ogilvy East Africa Limited and the investment into Ogilvy East Africa Limited by Scangroup Limited, a company listed on the Nairobi Securities Exchange.
